Agreement to Terms

By accessing and using PREP, operated by Pierce Industries LLC, doing business as PREP, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the PREP platform for your internal business purposes in accordance with your subscription plan. Under this license you may not:

  • Sublicense, resell, or distribute access to the platform
  • Attempt to reverse engineer, decompile, or extract source code from the platform
  • Use the platform to store or transmit malicious code
  • Interfere with or disrupt the integrity or performance of the platform
  • Access the platform through automated means (bots, scrapers) except through our published APIs
  • Use the platform to discriminate against, steer, or target or exclude any person on the basis of race, color, religion, sex, national origin, disability, or familial status (a protected class) in connection with the sale, rental, or financing of housing, in violation of the Fair Housing Act §804(c) (42 U.S.C. §3604(c)) or any other fair-housing law. This prohibition extends to discriminatory advertising, audience targeting, or audience exclusion — including the use of any CRM segmentation, lead-capture, or marketing-automation feature to deliver or withhold housing-related communications on the basis of a protected class, consistent with applicable HUD ad-delivery guidance

Handles and Public Addresses

When you use PREP's campaign features, your workspace is assigned a public handle that forms part of the web address of the forms and links you share (for example, the-prep.casa/p/your-handle/your-link). You may choose or change your handle, subject to the following terms.

You may not select, use, or request a handle that:

  • impersonates, or is likely to be mistaken for, another person, business, brand, or organization;
  • incorporates a third party's trademark, service mark, brand name, or other protected designation without authorization;
  • is deceptive, or is designed to appear official, verified, or endorsed by PREP, a government body, or any other entity when it is not;
  • is unlawful, or promotes or facilitates discrimination against any person on the basis of a protected class (including race, color, religion, sex, national origin, disability, or familial status) or any other unlawful activity; or
  • is otherwise abusive, offensive, or in violation of these Terms.

A handle is provided to you as a revocable license for use within the platform. A handle confers no ownership or other property right, and you acquire no trademark or other proprietary interest in a handle by using it. We may, at our discretion and where consistent with applicable law, reclaim, rename, reassign, suspend, or remove any handle — including to resolve a dispute, to comply with a legal or trademark obligation, to enforce these Terms, or to recover a handle that should be reserved for PREP or the public. Where practical, we will act on such matters through the contact process described in our Privacy Policy and our support channels.

The same rules apply to everything you put on your public page — your tagline, the contact details you enter, your brokerage or license line, and the names of the forms you choose to show. You may not publish content that impersonates another person or business, uses someone else's trademark, is deceptive or presents itself as official, or that indicates a preference, limitation, or discrimination based on race, color, religion, sex, handicap, familial status, or national origin.

You are responsible for your own compliance with real estate advertising rules. Many states require licensees to display their brokerage's name, and some require a license number, on public marketing material. PREP provides a field for this but does not verify it and does not provide legal advice — check your state's requirements. You are likewise responsible for complying with fair housing law in anything you publish.

We may unpublish or remove a public page, or any content on it, that violates these terms.

Subscription Terms

Subscription Plans and Pricing

  • PREP offers five subscription tiers: Starter (free), Agent, Team, Office, and Enterprise
  • The Starter plan is free with no time limit and no credit card required
  • Paid plans (Agent, Team, Office) are billed monthly or annually at the rates displayed on our pricing page
  • Team and Office plans include per-seat pricing for additional team members beyond the workspace owner
  • Enterprise plans are available with custom pricing through our sales team
  • All prices are in US dollars and exclude applicable taxes

Billing and Payment

  • Paid subscriptions are billed in advance on a monthly or annual basis through Stripe, our payment processor
  • You authorize us to charge your payment method on file for recurring subscription fees
  • Annual subscriptions are charged upfront for the full year at a discounted rate
  • We may change subscription pricing with 30 days written notice; existing subscriptions continue at the current rate until the next renewal
  • Customers on individually agreed pricing arrangements are governed by the terms of those arrangements, which supersede standard pricing and rate-change notice provisions

Upgrades and Downgrades

  • You may upgrade your plan at any time; the new rate is prorated for the remainder of your current billing cycle
  • You may downgrade your plan at any time; your current plan features remain active until the end of the billing period, then the new tier takes effect
  • When downgrading, usage limits for the new tier apply to new records only; existing data is never deleted

Cancellation

  • You may cancel your paid subscription at any time with no cancellation fees
  • Upon cancellation, your paid features remain active through the end of your current billing period
  • After the billing period ends, your account reverts to the free Starter plan with reduced limits
  • You retain access to all your existing data on the Starter plan

User Responsibilities

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Comply with all applicable laws and regulations
  • Not use the service for any unlawful or prohibited purpose
  • Comply with all fair-housing laws, including the Fair Housing Act §804(c) (42 U.S.C. §3604(c)), and not use the platform to discriminate against, steer, or target or exclude any person on the basis of a protected class (race, color, religion, sex, national origin, disability, or familial status) in any housing-related activity, including advertising and audience targeting
  • Respect the intellectual property rights of others

Data and Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the service, to understand our practices. We will not sell, trade, or otherwise transfer your personal information to third parties without your consent. Connections you enable to third-party tools are made at your direction and are governed by "Connected AI Clients and Other Third-Party Tools" below.

Connected AI Clients and Other Third-Party Tools

  1. Your connection, your instruction. PREP allows you to connect a third-party AI client or other external tool that you choose to your account. Enabling a connection is your instruction to PREP to make data you can already see available to that tool on a read-only basis for as long as the connection is active.
  2. You choose the tool; PREP is not a party to it. PREP does not select, endorse, vet, or contract with the provider of a tool you connect, and is not a party to your agreement with them. Your use of that tool is governed by that provider's own terms and privacy policy. PREP makes no representation about that provider's security, retention, confidentiality, availability, or model-training practices.
  3. Your responsibilities when you connect a tool. You are responsible for ensuring that the connection, and the provider's handling of the data it receives, comply with applicable law and with any obligation you owe to your clients, your brokerage, your MLS, and any other person whose information you make available — including data-protection law, fair-housing law, MLS and IDX rules, and your confidentiality and fiduciary duties. Where the data includes another person's personal information, you represent that you have a lawful basis to disclose it and that you have given any notice and obtained any consent required of you.
  4. Outside PREP's control. Once data leaves PREP at your direction, PREP has no control over and accepts no responsibility for how it is stored, retained, disclosed, or used, including whether it is used to develop or improve the provider's models. PREP's security and confidentiality commitments under these Terms, and the assurances in the Privacy Policy about how PREP handles your data, apply within PREP's own systems and do not extend to any external tool you connect.
  5. Disconnection is forward-looking only. You may disconnect at any time. Disconnection, and deletion of your account, stop any further access immediately but cannot retrieve or delete data the tool has already received. Removing that copy is a matter between you and that provider.
  6. Read-only, and no rights beyond your own. A connection can read only data you already have access to in PREP and cannot create, modify, or delete anything. It confers no access to another user's account. A connection covers your personal workspace and the workspace of any team you own. The workspace of a team you belong to but do not own is included only where that team's owner has allowed member access for the whole team; that setting covers every non-owner member, including administrators, on a read-only basis, and the owner is responsible for its own internal authorization, for notifying affected members, and for any notice or consent owed to the people whose information is in that workspace.
  7. Eligibility, limits, and suspension. Connections require an eligible plan, are subject to volume and rate limits, and may be changed or withdrawn. PREP may suspend or revoke any connection at any time, including to protect the service, to protect another person's data, or where PREP reasonably believes a connection is being used in breach of these Terms.
  8. Output is not PREP's output. Anything a connected AI tool produces is generated by that tool, is not reviewed or verified by PREP, and is not legal, tax, financial, or real-estate advice. You remain responsible for verifying anything you rely on.

Data Retention

  • Your data remains in your account for as long as your account exists, regardless of subscription tier
  • Downgrading or canceling a paid plan does not delete your existing data; usage limits apply only to new record creation
  • If you request account deletion, we will delete your personal data and account information within 30 days, except where retention is required by law or for legitimate business purposes (e.g., audit logs, billing records)
  • Transaction data and activity logs may be retained in anonymized form for platform improvement purposes
  • You may request a copy of your data or account deletion at any time by contacting legal@the-prep.casa

Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may temporarily suspend the service for maintenance, updates, or technical issues. We are not liable for any downtime or service interruptions.

Limitation of Liability

In no event shall Pierce Industries LLC or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the service.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the PREP platform shall be resolved by binding arbitration administered by a mutually agreed neutral arbitrator, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

Arbitration shall be conducted in Austin, Texas under the laws of the State of Texas, without regard to its conflict-of-law provisions. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Opt-out: You may opt out of this arbitration agreement by sending written notice to legal@the-prep.casa within 30 days of first accepting these Terms. Your notice must include your name, account email address, and a clear statement that you wish to opt out of the arbitration agreement.
